What are liquidated damages?

Liquidated damages is a clause in a contract where parties believe that the damages will not be easily identifiable, or will be hard to prove, and so they all select an amount if the contract is breached, in which to use. You should have someone review it, however, because if it's determined to be a penalty, it is unenforceable.
